Route 1: Sell to a desk or through a platform
This is how most unlisted shares change hands. You quote your holding and the desk either buys into its own inventory or matches you with a buyer. It is the fastest route, typically settling within a few working days, and it works for any company the desk has demand for. The price is the desk’s bid, which will sit below the indicative price shown to buyers; the gap is the spread. Two or three quotes from dated sources tell you whether a bid is fair.
The mechanics matter. Route 2: Wait for the IPO and sell on the exchange

Track the company on the IPO calendar; a DRHP filing is a signal, not a date.
Route 3: Sell back to the company in a buyback
Unlisted companies can buy back their own shares under the Companies Act, and a buyback is often the cleanest exit for employees and small holders because the company is the counterparty. The price is set by the company and the offer is time-bound. The tax treatment changed in 2024: buyback proceeds are now taxed in the shareholder’s hands as dividend, with the cost of the shares treated as a capital loss. Route 4: ESOP liquidity rounds and secondary sales
Larger unlisted companies periodically run ESOP liquidity programmes, where an investor or the company buys vested shares from employees at a set price. If your employer runs one, it is usually the simplest exit. If not, vested and exercised ESOP shares can be sold through a desk like any other unlisted holding, once they are in your demat. Tax when you sell
Unlisted equity held more than 24 months is a long-term capital asset; held 24 months or less, it is short-term and taxed at your slab rate. Keep the purchase record, the sale confirmation and the bank credit. The taxation page has the current rates and ITR schedule. If the shares were ESOPs, the exercise price and the fair market value at exercise both matter; do not sell before you have those figures.
