Unlisted share calculators: tax, cost of holding and IPO comparison
The tools desk holds three calculators built for the decisions an unlisted-share investor actually faces: what tax a sale attracts, what a purchase really costs once every charge is counted, and how buying pre-IPO compares with applying in the IPO itself. Each one runs in your browser; nothing you type is sent or stored.
The three calculators
- Capital-gains tax. Enter the buy and sell price, the quantity and both dates. The calculator applies the rules for unlisted equity shares in FY 2025-26: a holding of more than 24 months is long-term and taxed at 12.5% without indexation; anything shorter is short-term and taxed at your income-tax slab. Surcharge, cess and set-offs are left out.
- Cost of holding. Starts from a dated indicative price and adds the dealer spread, the depository participant's debit charge, stamp duty at 0.015% on the transfer and any advisory or platform fee, then shows how far the price has to move before you break even.
- IPO comparison. Puts a pre-IPO purchase at today's indicative price next to an IPO application at an assumed price band, using your own assumptions for the listing move and oversubscription. It predicts nothing.
How to use them well
Fill the price from a tracked company: the search box pulls the latest dated indicative price from the screener, so you start from a real reference. Change one input at a time and watch which line moves. Dates matter: the holding period runs from the day the shares were credited to your demat account, not from the day you sent an enquiry.
Before you file
The calculators are illustrations. Rates change with each Finance Act, and your own facts, such as residency and losses carried forward, can change the answer. Confirm with a chartered accountant before you file. Every pre-filled price is a dated indicative dealer reference; the price for an actual deal is the one the desk confirms through an enquiry.
Frequently asked questions
Is the 24-month rule the same as for listed shares?
No. Listed equity shares become long-term after 12 months; unlisted equity shares need more than 24 months. The calculator uses the unlisted rule.
Does the tax calculator apply indexation?
No. It follows the 12.5% rate without indexation that applies to long-term gains on unlisted shares transferred on or after 23 July 2024. The earlier 20% with indexation regime is not modelled.
Is anything I enter saved?
No. All three calculators run entirely in your browser. Nothing is sent to the desk and nothing is stored.
Where do the pre-filled prices come from?
From the screener. They are dated indicative dealer references and can differ from the price the desk confirms on the day.
