Unlisted and pre-IPO share activity in India is concentrated in Mumbai, Delhi NCR and Bengaluru, with smaller but genuine pools in Hyderabad, Pune, Chennai, Ahmedabad and Kolkata. Your own city, however, rarely decides what you can access. Unlisted shares are held and transferred electronically through the depository system, so a buyer in Coimbatore and a buyer in Mumbai deal with the same limited set of counterparties, the same paperwork and the same prices.

The short answer: this is a national market with a few physical centres

The unlisted market is national in reach and electronic in settlement, so "find a provider in my city" is usually the wrong search. There is no unlisted exchange, no trading floor and no regional bourse for these shares. A transaction is an off-market transfer between two demat accounts, arranged by phone, email or a web enquiry, and executed by depository participants who may be anywhere in the country.

What is geographically concentrated is not access but supply, capital and counterparties. Shares reach the market from employees, early investors, promoters and existing holders, and those people cluster where the companies and the money are. Firms that arrange these transactions cluster in the same places, because that is where the stock and the buyers meet.

The practical consequence is worth stating plainly. Being in Mumbai does not get you a better price on a widely traded unlisted company than being in Guwahati. It gets you more people you can meet face to face before deciding to trust one of them.

Mumbai: the deepest concentration of counterparties

Mumbai holds the largest concentration of unlisted share activity in India, for the same reason it holds most other financial activity. India's exchanges, most large brokerages, the bulk of institutional money, family offices, merchant bankers and wealth-management firms are based there, and the unlisted desk is frequently a small side operation attached to one of those larger businesses.

The types of participant are worth distinguishing, because they behave differently. There are broking houses running an unlisted desk alongside their listed business. There are boutique firms that deal only in unlisted stock and hold their own inventory. There are wealth managers and distributors who hold no stock but source it on request for existing clients. There are research and enquiry platforms that publish pricing and route transactions to registered intermediaries for execution. And there is an informal layer of individual brokers operating on relationships and WhatsApp, with no published pricing and no institutional footing at all.

Depth matters most for illiquid names. If a company trades a few thousand shares a month, the odds that someone is holding it are higher in the market with the most participants. For widely traded names, depth changes very little.

Delhi NCR: the second pool, weighted towards distribution

Delhi NCR — Delhi, Gurugram and Noida — is India's second-largest centre for unlisted share activity, and it leans towards distribution and private wealth rather than institutional dealing. A large network of financial distributors, insurance and mutual fund intermediaries, and family-run wealth practices operates in the region, and unlisted shares are often offered as an additional product line by firms whose main business is something else.

Gurugram and Noida are also substantial company hubs in their own right, which matters on the supply side. Employees of NCR-headquartered technology, fintech and consumer companies hold ESOPs, and secondary sales by those employees are one route by which pre-IPO stock enters circulation.

Two cautions apply more strongly in a distribution-led market, though neither is specific to NCR. A firm whose core business is selling other financial products may not know the specific unlisted company it is offering in any depth. And unlisted shares sold as an add-on product are sometimes presented with more certainty about a future listing than anyone actually has. No one can know when, or whether, a private company will list.

Bengaluru: where the supply comes from more than the dealers

Bengaluru's importance to the pre-IPO market is on the supply side, not the intermediary side. It is India's largest startup and technology centre, which means it holds the largest population of employees sitting on ESOPs and the largest concentration of venture and growth investors holding positions they may eventually want to reduce.

That produces a specific pattern. Bengaluru generates both pre-IPO stock and pre-IPO demand from people who work in the sector, but the firms arranging transactions are frequently based elsewhere or operate nationally online. An employee exploring an ESOP sale in Bengaluru is as likely to deal with a Mumbai desk as with a local firm.

From the employee side the sequence also differs from an ordinary purchase: exercise, tax and company-level transfer restrictions come before any question of price. Many private companies restrict share transfers under their articles or a shareholders' agreement, and no intermediary in any city can override that.

Hyderabad, Pune and Chennai: real activity, thinner local pools

Hyderabad, Pune and Chennai all have genuine unlisted share activity, but the local intermediary pool in each is thinner than in Mumbai or NCR. Each city has a different underlying reason for participating.

Hyderabad combines a large technology employer base with established pharmaceutical and infrastructure business families, so both ESOP supply and private capital are present. Pune has a manufacturing, auto-component and IT services base and a substantial professional investor community, and its proximity to Mumbai means many Pune investors simply deal with Mumbai desks. Chennai has a long-standing local investing culture, strong manufacturing and financial services sectors, and regional broking firms of some standing, several of which handle unlisted enquiries alongside their main business.

In all three the honest position is the same. You will find competent people locally, but fewer of them, and for a thinly traded company the local answer may simply be that nobody nearby has the stock. That is a sourcing constraint, not a reason to accept worse terms from whoever is nearest.

The other cities that matter

Beyond the six largest centres, Ahmedabad, Kolkata, Jaipur, Surat, Indore and Coimbatore all support meaningful unlisted share activity. Gujarat in particular has an unusually strong retail equity culture, and Ahmedabad and Surat have long-established broking and private-investing communities that extend into unlisted stock. Kolkata retains a network of older broking families with regional company relationships.

In these cities unlisted dealing is almost always attached to an existing local broking or advisory relationship rather than offered by dedicated specialists. That has a real advantage — the relationship is long-standing and locally accountable, which is itself a form of diligence — and a real limitation, which is narrow coverage. A local firm may know ten companies well and have no access to the rest.

What actually differs by city, and what does not

Four things vary by city: how many firms you can meet in person, how quickly a rare stock can be sourced, whether a local firm covers the specific company you want, and the strength of any existing relationship you already have. Everything else is the same everywhere.

What does not vary is more important. Pricing on actively traded unlisted companies is broadly consistent across the country, because the same small set of wholesale participants supplies most of the market and information travels quickly. The documentation is identical: PAN, KYC, a client master report, a written deal confirmation, funds transfer and an off-market delivery instruction. The depository system is national, so any demat account with any SEBI-registered depository participant receives shares from a counterparty in any city. Taxation follows the security and the holder, not the location of the firm. The full buying process is the same sequence regardless of where either party sits.

How to assess a provider in any city

Judge any firm on four things: what it actually is, what it covers, how it prices, and how it settles. City is not on that list.

Ask what the firm is registered as and what role it plays, and expect a specific answer. A research and enquiry service, a broker, a distributor and a SEBI-registered investment adviser are four different things with four different obligations, and a firm that blurs them warrants more caution than one that states its limits. Ask how many companies it genuinely covers, and whether pricing is published and dated — an undated price is not information. Ask whether settlement runs through demat accounts, which leg moves first, whether the bank account receiving funds is in the name of the entity you are contracting with, and what happens if the other side does not perform.

A firm that answers those questions precisely, in writing, is demonstrating something a local address cannot. A firm that deflects them is also telling you something, whatever city it sits in.
